1. Parties and scope
These terms describe how Scalewix LLC ("Scalewix") provides Amazon account management and related services to a client ("you"). Each engagement is defined by a written scope — a proposal, order form or agreement — that lists the account(s), marketplace(s) and services covered. Where a signed agreement differs from these terms, the signed agreement prevails.
2. Authorization and access
- You confirm that you own or are authorized to manage the Amazon selling account(s) in scope.
- You grant Scalewix access through Seller Central user permissions (or another mechanism Amazon provides), limited to what the services in scope require. You may change or withdraw that access at any time.
- Scalewix acts on your behalf inside your account; the account, its listings, inventory, funds and relationship with Amazon remain yours.
3. Our responsibilities
- Perform the services in scope with reasonable skill and care, on business days, and keep a log of the actions our team takes in your account.
- Follow Amazon's policies, the Amazon Acceptable Use Policy and Data Protection Policy, and marketplace requirements in everything we do in your account.
- Bring decisions that carry material cost, policy or brand risk to you before acting.
- Protect your information as described in our Privacy Policy.
4. Your responsibilities
- Provide accurate product, compliance, pricing and business information, and timely answers to the decisions we bring to you.
- Keep your Amazon account in good standing in the matters outside our scope (for example tax settings, bank details and legal entity information).
- Ensure you hold the rights, certifications and approvals needed to sell the products in scope in each marketplace.
5. No guarantees on Amazon outcomes
Amazon's decisions — on listings, account health, reimbursements, advertising delivery and account status — are Amazon's alone. Scalewix does not guarantee sales, rankings, advertising results, case outcomes or reinstatements, and never uses methods that breach Amazon's policies to pursue them.
6. Fees
Fees are stated in the written scope. Unless it says otherwise, engagements are month-to-month, invoiced monthly and payable within 14 days. Amazon fees, advertising spend, product and shipping costs are yours and are not included in our fees.
7. Confidentiality
Each party keeps the other's non-public business information confidential and uses it only for the engagement. This obligation survives the end of the engagement. Scalewix does not disclose client names, data or results publicly without written permission.
8. Term and termination
Either party may end a month-to-month engagement with 30 days' written notice. Either party may end immediately if the other materially breaches these terms and does not cure within 10 days of notice. On termination you remove our access; we hand over open work, deliver final reporting and delete working files within 30 days.
9. Liability
To the extent permitted by law, Scalewix's total liability under an engagement is limited to the fees paid for the three months preceding the claim, and neither party is liable for indirect or consequential loss, lost profits or lost sales. Nothing limits liability for fraud or for matters that cannot be limited by law.
10. General
These terms are governed by the laws of the State in which Scalewix LLC is organized, and disputes are resolved in its courts, unless a signed agreement says otherwise. Scalewix is an independent contractor; nothing creates a partnership, joint venture or employment relationship. We may update these terms; the effective date above shows the current version, and changes do not affect an engagement already under a signed agreement.
